ONLINE EDUCATION TERMS AND CONDITIONS

In consideration of Professional Skin Care, Inc.’s (the “Company”) agreement to provide training and its disclosure or agreement to disclose to the person or persons (collectively “Recipient”) watching this training program, certain of its proprietary and trade secret information (“Information”) regarding the preparation and use of the Company’s topical skin care products (the “Products”), and for other good and valuable consideration, the receipt and sufficiency of which the Recipient hereby acknowledges, Recipient hereby agrees as follows: All methods, concepts and information which the Company has disclosed or may from time to time disclose to Recipient regarding the preparation, custom blending or other handling of the Products (the “Information”) are the property of and proprietary to the Company, and that such Information has been disclosed to Recipient solely for use in connection with the Products, and only in accordance with written guidelines and instructions provided by the Company. The information shall be kept and maintained in strict confidence, used only in connection with Recipient’s marketing, preparation or sale of the Products, and disclosed only within Recipient’s organization to those of its employees or agents who: (I) need to know the Information for the purposes provided for herein; (II) have been informed of the proprietary nature of the Information; and (III) have agreed to be bound by the terms of this Confidentiality Agreement. The Information will not be disclosed to any other person or firm, whether or not a competitor of the Company, for any reason or purpose whatsoever, without the express prior written consent of the Company. In the event Recipient fails to comply with the provisions of this Confidentiality Agreement, the Company shall be entitled to seek to have such failure enjoined by a court, and to recover any damages which may result from such failure. This Confidentiality Agreement shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice of law rules that may require the application of the laws of another jurisdiction.
